Organizer Agreement

1. Roles
Origo Tickets ("Origo") is a technology platform and ticketing intermediary. The organizer is the seller, the merchant of record and the provider of the event to buyers. Origo is not the organizer, promoter or producer of any event.
2. Payments through your own Stripe account
To sell paid tickets the organizer must connect its own Stripe Standard account. Ticket revenue is charged on and paid directly into the organizer's Stripe account; Origo does not hold or pay out ticket revenue. Stripe's own terms (including the Stripe Connected Account Agreement), fees and payout schedule apply. The organizer is responsible for completing Stripe's verification, keeping its bank details correct and managing its payouts. Paid events cannot be published until Stripe enables charges on the account.
3. Origo service fee
Origo charges a service fee on each paid ticket, currently 5% + $10 MXN (MXN events) or 5% + $0.60 USD (USD events). For table reservations the fee applies only to the deposit, not to the balance. The fee is paid by the buyer or absorbed by the organizer, as chosen per event, and is collected automatically on each sale as a Stripe application fee. Origo may change the fee with at least 30 days' notice; changes apply only to events created after the change takes effect.
4. Origo holds its fee until the event is over
Origo holds each event's service fees until 72 hours after the event ends. If the event is cancelled (or a buyer is refunded because of a date change), the corresponding fee is returned to the buyer. Only after the holding period, and if the event took place, does Origo keep the fee.
5. Cancellation
The organizer must cancel an event through the platform ("Cancel event"). When an event is cancelled, Origo automatically refunds 100% of every order, including table deposits: the ticket amount is refunded from the organizer's Stripe account and the service fee from the fee Origo holds. Buyers are notified. By accepting this agreement the organizer authorizes these refunds in advance. The organizer must keep enough funds in its Stripe account; any shortfall is covered by Stripe from the organizer's bank account under Stripe's terms.
6. Rescheduling
If the organizer changes the date of an event, tickets remain valid for the new date. Buyers are notified and may request a full refund (ticket + service fee) within 7 days of the notice. These refunds are processed automatically in the same way as in clause 5.
7. Compensation
Any compensation required by law or by Profeco (for example a bonus of at least 20% of the amount paid when a cancellation is attributable to the organizer) is paid 100% by the organizer. The organizer authorizes Origo to charge it to the organizer's Stripe account where technically possible; otherwise the organizer must pay it to buyers directly within 5 business days and provide proof when Origo asks.
8. Voluntary refunds
While an event is still going ahead, refunds follow the refund policy the organizer chose for that event and showed to buyers before purchase. They are paid from the organizer's Stripe account. Origo's service fee is non-refundable in these cases.
9. Chargebacks and disputes
Chargebacks and payment disputes are the organizer's responsibility, including any bank or Stripe fees. They are handled on the organizer's Stripe account, and the organizer responds to them from its Stripe dashboard.
10. Organizer responsibilities
The organizer is solely responsible for: carrying out the event; permits and licenses; the venue, capacity and safety (civil protection); artists and their contracts; accurate event information; entry conditions; its taxes (IVA, ISR and any other) and issuing invoices (CFDI) to buyers where applicable; and the personal data it receives or exports, which it must handle under the Federal Law on Protection of Personal Data (LFPDPPP), sending marketing only to buyers who opted in.
10A. Taxes and invoices
Ticket prices are the organizer's. For events in Mexico, prices are shown with taxes (IVA) included so buyers always see the final total. The organizer is responsible for all taxes on its ticket revenue (IVA, ISR), local entertainment taxes (for example the 8% tax on public shows in Mexico City and similar taxes in other states), permits, and issuing CFDI invoices for tickets when buyers request them through the platform. The organizer keeps its RFC, tax regime and legal name up to date. Origo provides a ticketing report per event to help with these declarations.
Origo's service fee includes IVA (16% in Mexico, or the rate that applies). Origo issues the CFDI for its service fee to the buyer, or to the organizer when the organizer absorbed the fee. In US events, sales tax on tickets is set and remitted by the organizer; any sales tax on Origo's fee is Origo's.
If Mexican law requires Origo, as a digital platform, to withhold ISR or IVA from the organizer's sales, Origo will notify the organizer in advance, apply the legal rates and issue the corresponding monthly withholding certificates.
11. Indemnity
The organizer shall hold Origo, its shareholders, officers and employees harmless and indemnify them against any claim, complaint (including before Profeco), fine, sanction, chargeback, damage, loss and legal costs related to the organizer's events or to any breach of this agreement.
12. Suspension
In case of fraud, risk to buyers or to Origo, breach of this agreement or a legal order, Origo may pause sales, unpublish events, cancel events and refund buyers as described in clause 5, and suspend the organizer's account.
13. General terms
Limitation of liability: to the extent permitted by law, Origo is not liable for the event, its quality, cancellation or changes, nor for indirect damages or lost profits. Origo's total liability to the organizer is limited to the service fees Origo kept for the event concerned.
Prohibited events: events that are illegal, lack required permits, promote violence or discrimination, involve fraud, or sell tickets the organizer cannot honor are prohibited and may be removed and refunded under clause 12.
Term and termination: this agreement lasts while the organizer has an account. Either party may end it; obligations for events already sold (refunds, compensation, chargebacks, indemnity) survive.
Notices: Origo sends notices by email and in the app. Changes to this agreement are notified in advance and must be accepted again before the organizer can keep selling paid tickets.
Governing law: this agreement is governed by the laws of Mexico. The parties submit to the courts of Mexico City, waiving any other jurisdiction.
Acceptance
The organizer accepts this agreement by ticking the checkbox before connecting Stripe or publishing paid events. Origo stores the date, time and version accepted.
